Five Forces Analysis Model; resolution of the restructuring measures; the stock reform program
我国证券市场出现了明显的复苏迹象。一方面是前几年股市积累的问题逐步得到解决，宏观经济一直保持快速增长态势，企业利润也连续增长，上市公司的业绩日益好转，股市投资者迅速增加，股市与宏观经济增长的步调日趋一致。另一方面，随着上市公司股改结束，各项基础性制度建设得到加强，上市公司质量的提高、证券公司综合治理的推进、机构投资者迅速发展，投资者的信心逐步增加，沪深两市总成交额不断增大，股市融资能力逐渐增强，证券市场日趋成熟。 本文对攀煤(集团)公司所处的外部经济环境、政策环境、竞争环境及企业内部的矿产资源条件、煤基产业发展情况、财务状况和人力资源条件进行分析，其中重点运用五力分析模型对攀煤所处的市场竞争环境进行了深入分析，从各方面分析的情况来看，攀煤在局部市场具有较强的竞争能力，将优势资产重组设立股份有限公司不仅符合国家的产业政策，而且是攀煤自身生存发展的需要，也是上级政府和管理部门的要求。 本文一方面对攀煤的各种产业进行财务指标和成长性分析，发现煤炭生产与加工产业的成长性好、各个财务指标符合上市公司的条件，是攀煤的优势产业，发展潜力巨大。另一方面，按照《拟发行上市公司改制重组指导意见》的要求，对攀煤的其它产业及生活辅助部门进行了分析，按照拆分重组的办法进行重组，新组建的股份公司具有良好的经济效益，分离出来的单位、部门与股份公司的关联交易能控制在《公司法》和《证券法》规定的范围内，并且能自我发展，因此，攀煤重组上市的条件基本成熟。 本文按照《公司法》、《证券法》、《股票发行与交易管理暂行办法》、《拟发行上市公司改制重组指导意见》和《企业股票发行上市条例》等法律法规的要求，
The stock market in our country obviously has the trend to its recovery. On one hand some problems in the stock market several years ago has been solved gradually. Macroeconomic has kept fast increasing. The enterprise profits have been increasing too. The accomplishment of the listed company turns for the better outlook. The quantity of stock market investor gets the quick increment. The stock market is in accordance with the macroeconomic increment gradually. On the other hand, with the accomplishment of the listed company reformation, various foundations system developments being enhanced, listed company quality improvement, the promoting of the comprehensive management of the Corporation, and the increasing confidence of the investor, the total turnovers in the stock markets in Shanghai and Shenzhen is enlarging continuously, the margin ability of the stock market is also strengthening gradually, and the stock market is gradually mature.In this paper the author discusses the external economic environment, the local policy environment, the competitive environment in Panzhihua Coal (Group) Co.. The author also analyzes the mineral resources condition, coal-based industry development condition, the financial situation and the human resources situation in Panzhihua Coal (Group) Co.. Especially the author focuses on the competitive environment with Five Forces Analysis Model.
