建立独立董事制度是完善我国上市公司治理的重要举措。本论文针对我国上市公司独立董事制度的现状及存在问题，在比较分析国外上市公司独立董事制度的基础上，提出建立和完善我国上市公司独立董事制度设计的构想，最后以我国水利类上市公司为例进行了实证研究。 本论文第一章为绪论，介绍论文研究的目的、范围、理论基础和方法等；第二章阐述了独立董事制度的概念；第三章分析了我国上市公司独立董事制度的现状及存在问题；第四章进行了独立董事制度的国际比较研究；第五章提出了完善我国独立董事制度的建议；第六章对我国水利类上市公司独立董事制度进行了实证研究。
It is to improve decision-making that Chinese listed companies decide to establish an independent director system. To make up the defect in listed company corporate governance structures of our country, this thesis starts with the relation between listed companies corporate governance structures and independent director systems, discusses the developmental trends of directors boards in the form of a comparative analysis in foreign countries, observes the passive consequences caused by the current situation about the personnel form of the boards of directors of listed companies of our country, puts forward setting up and perfecting the idea of the independent director system design of listed companies.Chapter one of this thesis is introduction, briefly introducing the study purpose, range, theoretical foundation, method and so on; Chapter two explains the concept of the independent director"s system; Chapter three analyses the current situation and problems of the independent director"s system of listed company of our country; Chapter four deals with the international comparison of independent director system which has been studied; Chapter five proposes the suggestion of perfecting the independent director"s system of our country; Chapter six carries on the positive research to the water conservancy listed company independent director"s system of our country.
