在我国市场经济体制改革不断深入以及加入WTO的背景下,我国国有商业银行面临越来越大的冲击。作为我国银行业乃至整个金融业的主体,国有独资商业银行治理结构的市场兼容性,是直接关系我国加入WTO后,国民银行业参与开放式、国际化金融竞争的战略性问题。在产权构成、治理结构等方面国有商业银行存在很多问题,面临着严峻的挑战。为了有效地解决商业银行存在的问题,中国国有商业银行必须集中精力,进行改革开放以来的第三次变革,以公司制改革作为突破口,建立和完善商业银行公司治理,在价值取向、产权结构、治理结构以及银行外部治理方面采取有效措施。
With the further improvement of market economy system and the entry into the WTO, the state-owner commercial banks in china face more and more serious challenges. The state owned commercial bank is the principal of the banking industry and financial industry. The compatibility with market of the administration structure of state owned bank is a strategic problem, after China successful fluent entry to WTO, when the state owned banks began to participate in the open and international financial competition. Whether the compatibility of the administration structure of state owned bank management system with market can be improved evidently via the stock market has been highly lighted by the financial industry. There exist many problems for the State-owned commercial banks, such as the composition of property right, capital, efficiency, governance structure and decision mechanism, etc. To solve the problems, the state-owned commercial banks must exert all their efforts and focus on the third reform by establishing and perfecting commercial banks governance based on the principle of corporate governance, and by adopting effective measures with regard to the concept of value, development strategy, composition of property right, governance structure, decision mechanism and exterior governance, etc.
