论文标题:公司治理中内部人控制法律问题研究 The Research on the Legal Issues of Insider-control under Corporate Governance 论文作者 杨洪波 论文导师 王远明,论文学位 硕士,论文专业 经济法 论文单位 湖南大学,点击次数 106,论文页数 53页File Size2641k 2005-04-25论文网 http://www.lw23.com/lunwen_218076667/ 公司;治理结构;内部人控制;法律问题 Corporate; Governance; Insider-control; Legal Issues 随着我国社会主义市场经济体制改革的不断深入,我国的国有企业在建立现代企业制度上也在不断的探索,相应的,公司治理结构也成为我国国有公司所面临的一个难题。而内部人控制作为公司治理结构的一个子课题,亦在现代企业中普遍存在,并同公司治理结构一样,成为公司实践中的一个难题。 公司治理结构原本应是公司通过公司机关而实现的自我控制。而当下公司治理结构的法理模式和公司机关的构造,为公司的自我控制异化成内部人控制提供了法律上的可能性。市场与技术发展的要求企业“两权分离”,人类的理性经济人本性出于经济利益的动机则为公司的自我控制异化成内部人控制提供了经济上的必然性。 而从我国国有企业改革的历史过程来看,我国国有企业(公司)的内部人控制,既有内部人控制形成的一般性,更有其自身的特殊性。内部人控制体现着一定的经济规律,具有经济上的合理性且一定程度上能满足对效率的追求。但其优势的发挥必须辅之以相应的法律和制度环境:否则,很可能导致内部人控制问题,造成相当严重的后果。 文章针对内部人控制的产生及其泛滥的法律上的制度性因素,从三个层面展开对内部人控制的法律规制的具体设想。第一个层面是对内部人控制的直接规范,通过构建规制公司真实法人意思的法律机制,彰显并保障法人之独立人格,进而使内部人控制得到规范;第二个层面通过对内部人的监督来间接规制内部人控制,这些监督来自两个方面即内部人的相互监督和法律义务与责任之承担,而此两方面监督作用之实现须有制度保证;第三个层面是通过外部人的参与来影响内部人控制。在此,根据对外部人所作的分类,依据其各自在公司中的地位,并基于对现有立法及理论的分析,提出了相应的建议,并分别作出了不同的制度设计。 With the development of the socialist market economical reform in China, the research on modern corporate system was carried out step by step and the topic of corporate governance became popular. As a subsidiary subject of it, the insider-control became a hot potato, too.The self-control of corporate should be realized by its organ under governance, but the present legal model and the corporate organization supplied the potential possibility for the self-control alienation into the insider-control. And the separation of ownership and managerial power and the rational person supplied the positive connection for it. The path dependence of state-owned corporate entrusted it the special characteristic. The insider control has some reasonableness which could satisfy the seeking to efficiency. But it should be supported by the corresponding legal background. Otherwise, it would give rise to the insider-control obstacle.This article analyzed the legal reason of the insider-control and constructed the concrete legal regulation from three levels. The first level was the direct regulation to it, which focused on the protection to the real corporate will and the independent juristic personality. The second level was the indirect regulation by the supervision to the insider, which came from both the mutual insiders and the legal obligation and responsibility on them. The third level should be carried out by the participation of the outsider. Therefore, this part made different participating-designs counting different outsiders. These ideas mentioned therein were critique and propose to legislation and existed theory.
