国务院决定中国银行实行股份制改造，是加快金融改革，促进金融业健康发展的重大决策，也是中国银行难得的历史发展机遇。 本文围绕中国银行应如何转变观念，转换机制，在加快内部机制改革和加强内部管理方面，加大内部改革力度，健全法人治理结构，引进战略投资者，进而将中国银行整体改造为中银集团股份有限公司，实现产权多元化，建立规范的股东大会、董事会、监事会以及高级管理层制度。通过采取一系列措施，使中国银行成为服务和效益良好的现代金融企业展开论述。 本文共分为五个部分。第一部分介绍了中国银行股份制改造的背景，本文要研究的问题及研究目的和所应用的研究方法。第二部分是中国银行的发展现状及存在问题，对中国银行改革过程中存在的问题进行了剖析。第三部分阐述了中国银行实行股份制改造的模式选择，通过比较英美模式与德日模式两种典型的公司治理结构模式，探讨了中国银行的模式构建。第四部分再造中国银行组织结构中系统地概括和分析了西方商业银行主流模式的组织架构，指出了西方商业银行组织架构的主流模式对中国银行组织架构改革的借鉴意义。第五部分中国银行股份制改造实施方案从股本结构、实施方案、控股比例、法律支持等方面进行了阐述，详细论述了中国银行从股份制改造到上市的过渡期间需要解决一组有科学排序的具体问题。
The decision from the State Council that Bank of China put the share system reform into practice is a great policy to quicken the financial reform and promote the financial circles, and a rare developing opportunity in the history of Bank of ChinaThe article develops its statement as follows: Bank of China will make a change in view and system; it will strengthen the inside system reform and management ,perfect the form run by corporation,import the strategy investor, and change it into Bank of China Bloc Share Limited Operation, which will make the diversity of property right come true , and establish the formal group of shareholders, the board, supervisory committee, and senior executive system; it will become a modern financial venture with good service and benefits in the light of adopting measures.The article may be divided into five parts. Part one introduces the background of Bank of China share system reform, the problems and purpose explored here, and researching methods related with it. Part two is about the current situation of Bank of China and its problems, and analyze the problems. Part three gives a statement about pattern choice for Bank of China Share System Reform, and explores the pattern"s establishment of Bank of China by the comparison between British and America, Germany and Japan. -Part four which aims at the rebuilding Bank of China Organization Form gives a conclusion and analysis about the dominant organization structure of western commercial banks, pointing out the significance for Bank of China"s organization structure reform from western banks. Part five concerning Bank of China Share System Reform Scheme develops its statement from share structure, carrying schemes, share controlling rate, and law support, and gives the detailed exposition about the fact that Bank of China needs to solve a range of scientific arrangement problems in the process from share system reform to the listed company.
