本文主要运用比较法和因素分析法对美国私立大学内部管理体制进行了系统分析。论文从本研究所涉及到的几个重要概念着手，追踪了美国私立大学内部管理体制的历史轨迹，从大学自治、学术自由和教授治校三个方面概括了美国私立大学内部管理体制形成的思想根源，接着以权力分层加分类管理的模式对美国私立大学校、院、系三级管理及教学、科研、教师、学生、财务管理五方面进行分析，并从正负两个方面概括了美国私立大学内部管理体制的优劣，最后总结了内部管理体制形成、发展规律，并对我国民办高校的内部管理体制提出了几点思考建议。
The article analyses systematically internal management system of private university in America with the methods of comparison and factor analysis. Beginning with some important concepts involved it accounts for the historical development of internal management system of private university in America and sums up the thinking source of the internal management system with the view of "University"s Autonomy","Academic freedom", and "Professors" governing university". And then it anlyses the management of university, college, department and teaching, science and research, teachers, students, finance and refers to its advantages and disadvantages. Finally it concludes and brings forward some advice on internal management system of civilian-run college and university in China.
