城市商业银行是在原城市信用社的基础上组建而成的新型地方性股份制商业银行。城市商业银行在跨世纪的发展中面临着一系列的问题。特别是中国加入WTO，外资银行大批涌入，这对城市商业银行将造成极大威胁。文章即从城市商业银行所面临的新的竞争环境出发，着重分析了在这一特殊情形下应做出的最佳对策，即采用并购的战略；阐述了城市商业银行采用这一对策的可行性、动力，其实行并购战略的条件、方式和重要环节及其实施步骤。最后针对南京市商业银行发展情况以及跨区域经营的愿望，提出了南京市商业银行已经具备跨区域并购的条件和运用并购战略发展的构想。
The city commercial bank, which was built up on the foundation of the original city credit cooperative, is a new regional joint-stock commercial bank. The city commercial banks face a series of problems in the development during the new century. Especially Under the circumstance of China entering into WTO, lots of foreign banks will flow into our country, and this will seriously threaten the city commercial banks. The article sets out from the new competition environment which is faced by the city commercial banks, then emphatically points out that the best counter-plan the city commercial banks should adopted under the special situation is the strategy of merger and acquisition; then analyze the possibility and motive of this strategy ,and the term, way, important link and step of the practice during the operation of merger and acquisition. Finally on the basis of Nanjing City Commercial Bank"s development and wish to run business across the districts, the article puts forward that Nanjing City Commercial Bank has possessed the term of merger and acquisition across the districts, then points out the speculation of merger and acquisition.
