Joint Venture of Life Insurance; Strong Point; Weakness Suggestion on strategy
21 世纪初,中国加入 WTO,从此中国的经济进入了一个崭新的阶段。作为中国金融业四大支柱之一的保险业,也进入了一个全新的发展阶段。其中一个最明显的变化就是保险市场主体的急剧增加,从上世纪八十年代初的一家保险公司发展到现今近 60 家保险公司,而且还有多家保险公司正在筹建。在中国寿险市场上,中外合资寿险公司从无到有,已逐渐发展成为中国保险市场上一支不可忽视的力量。根据数据显示,合资寿险公司的增长速度已超过中资寿险公司,其发展潜力巨大。因此,对合资寿险公司进行研究,具有一定的现实意义。 合资寿险公司作为中国寿险业的新生力量,有着中资保险公司无可比拟的优势,同时也有其自身无法超越的先天不足。本文通过分析我国合资寿险公司的优劣势,提出中外合资寿险公司的发展战略的初步建议。 全文共分三个部分,首先对我国合资寿险公司的发展现状及其基本特征进行了介绍;其次,对我国合资寿险公司的主要的优劣势进行了分析;最后,探讨了我国合资寿险公司现阶段的发展战略建议及前景展望。 第一章中外合资寿险公司的发展历程及状况。 首先,介绍了外资保险在中国保险市场的发展过程,指出外资保险已经在我国保险市场上得到了快速的发展和扩张;第二节分析了保险业的入世及其对中外合资寿险公司的影响,主要是提出合资寿险公司的概念以及概括我国入世在保险业的具体承诺及其对合资寿险公司的影响;第三节先介绍了我国合资寿险公司的现状及基本特点,如股东均为两名,中方股东为大型企业集团,拥有一定的市场支配力,外方股东为综合性保险集团,部分已分别进入我国多个金融领域等;然后分析我国合资寿险公司中外双方在合资寿险公司的地位,最后对我国合资寿险公司的合资模式进行了分析。 21第二章中外合资寿险公司的优劣势分析。中外合资寿险公司既有外方股东雄厚的资本和保险技术优势,又能享受中方股东的本土化垄断资源,因此,其在新产品的开发、专业化的服务、财务管理技巧、多样化的销售渠道等方面有着明显的优势,这也为其在中国的快速发展打下了良好的基础。第一节主要是对中外合资寿险公司的优势进行分析。首先,概述了几个关于合资优势的理论,包括效率理论、合资的成本收益分析理论以及市场理论;其次,分析了我国合资寿险公司的创新优势,主要表现在合资寿险公司在保险服务的创新、保险险种的创新以及保险营销方式的创新等;再次,分析了合资寿险公司的股东资源优势,不论在股东的经济实力还是中方股东的垄断资源或政治背景等方面,合资寿险公司有着雄厚的股东资源支持;最后,分析了合资寿险公司在其他领域的优势,如财务领域优势,注重人才培养和培训以及在信息技术等方面的优势。然而,合资寿险公司与其他合资公司一样,如何协调中外双方的战略和利益是其永恒的话题,也是其“硬伤”所在。本章第二节就对合资寿险公司的经营劣势进行了分析。首先,对合资寿险公司困境的理论分析,从融合成本的角度分析合资成立的保险公司可能会出现管理层次增加、沟通不畅、信息失真等问题,而且,融合双方的运作机制和企业文化实现真正的整合也并非易事;其次,分析了合资寿险公司的治理结构存在缺陷,集中表现在:缺乏独立性的董事会,职能残缺不全、委托代理关系不清、缺乏监督的组织结构以及股东双方存在的控股权和利益的冲突;再次,分析了我国合资寿险公司中外股东理念的冲突。东西方文化的冲突似乎从来就没有停止过,在全球化的今天,反而愈演愈烈,这种文化的冲突,在合资寿险公司的内部,演变为一种理念上的冲突。中方股东和外方股东在经营理念上和市场运作上都有着很大的分歧,合资寿险公司的外方往往具有悠久历史和丰富经验的保险公司,拥有雄厚的资本实力和成熟的市场经验以及长远的规划,因此,外方的经营目标一般都比较长远,不追求短期的经济效益,也不追求过快的发展速度,而更追求提高其市场占有率;而多数的中方股东往往更倾向于获得短期收益。由于中外合作者在市场运作和经营目标及31经营理念上的不一致,因而已经或将出现前期的费用超支以及管理权的不统一等问题,影响我国合资寿险公司的协调健康发展。最后,指出合资寿险公司的持续发展需要更多的资本金来支持。由于保险业的盈利周期一般为 5-7 年,前期一般都是亏损,随着业务量的增加及发展的需要,特别是大量增加负债率的长期寿险业务,使得公司必须要在开业后的不久,如第三年、第五年等追加资本金以保证充足的偿付能力,否则公司将由于偿付能力不足而被迫停止经营。而中方股东在追加资本金方面有很大的犹豫,因此,追加资本金的问题成为合资寿险公司中外双方争议的大问题。第三章合资寿险公司的发展战略及前景展望首先,合资寿险公司的发展战略主要包括股东合资战略、市场目标定位和竞争策略、以客户为导向的拓展服务策略、合资寿险公司品牌的创立和维护策略。股东合资战略是合资寿险公司中外股东双方为要实现的长期目标所采取的行动和配备的资源。股东合资战略包括股东选择战略和股东合作战略两个部分;关于合资寿险公司的市场目标定位和竞争策略,它是指在激烈竞争的保险市场上,无?
The year of 2001 witnessed the China’s entry into the World Trade Organizations (WTO), which leads Chinese economy to a new stage. As one of the four supports in the financial field, insurance has also moved into a completely new development area. One of the most obvious changes is the rapid increase of insurance companies. Specifically, in China’s life insurance market, the Joint Venture of Life Insurance (hereinafter referred to as JVLI) has been playing a more and important role in China’s insurance market. According to statistics, the increasing speed of Joint Venture of Life Insurance has exceeded that of Chinese Life Companies. As a new strength in China’s life insurance market, JVLI owns both advantages and disadvantages of its own. The thesis focuses on the analysis of strong points and weak points of JVLI and puts forward to suggestions on its development strategies at present stage. This thesis consists of three chapters. Firstly, it describes the present state and basic characteristics of JVLI; Secondly, it analyzes both the strong points and the weaknesses of JVLI; Thirdly, it discusses the development strategies of JVLI at present stage and makes some suggestions on its prospects. In Chapter One, the thesis firstly introduces the development process of foreign insurance in China’s market; Secondly, this thesis analyzes the legal position of Chinese JVLI, mainly involving the presentation of concept of JVLI and the description of specific commitment made by our government on insurance as well as the impacts on JVLI resulted from China’s entry into WTO; Thirdly, it introduces the present situation of JVLI and generalizes several characteristics of JVLI. For example, JVLI has only two shareholders, namely, one Chinese holder and one foreign holder. They are both large companies with strong economic and political strengths. Some of JVLI have entered into several financial fields in our market. Finally, it analyzes the position of both parties in JVLI and presents discusses on the joint trend of JVLI. In Chapter Two, the thesis analyzes the strong points and weaknesses of JVLI. The Joint Venture of Life Insurance can not only possess the insurance skills and great capitals from foreign shareholder but enjoy the local resources from Chinese shareholder, which provides hard basis for JVLI’s potential development. In the first part of this chapter, the thesis analyzes the strong points owned by JVLI. Firstly, it introduces several theories related to the advantages of joint venture, namely, Efficiency Theory, Transaction Costs and Market Power; Secondly, it analyzes the advantage in creativity, mainly appearing in creativity in products, services and sales channels; Thirdly, another advantage of JVLI is its shareholders’ supports; Finally, it discusses JVLI’s other advantages, such as in financial field, in training its personnel and in information technology. However, like other joint ventures, JVLI has its genuine weakness on how to harmonize the interests of both parties. In the second part of this chapter, it relates to the weakness of JVLI. Firstly, it analyzes theories regarding the disadvantages of joint venture, presenting that from the prospective of transaction cost, there may be untrue of information, unsmoothness of exchange and increase of management layer existing in the joint venture of insurance; Secondly, it analyzes that the defaults of structure of corporate governance in JVLI, such as lack of independent board of directors, unclear relations between principals and agents, short of supervising organizations and conflict of interests between two parties, and so on. Thirdly, it discusses the different management ideas of both parties and its influence on the operation of company. Actually, most of foreign shareholders are large insurance companies with long history andrich experience.
