ESOP; forms to realize the public ownership; restoration of the individual ownership
国有企业员工持股在我国一经产生就引起广泛关注。在实践中，员工持股并 没有达到预期效果，这一制度能否在社会主义中国生根开花结果？是不是国有企 业改革的方向？是否有利于实现共同富裕？这些都是在改革实践中提出的重大问 题。 在目前的理论研究中，有的把员工持股等同于“重建个人所有制”；有的把 员工持股误以为是存量资产量化到人，等同于私有制；更多的研究是在员工持股 的运行机制上下功夫。本文在已有相关研究成果的基础上，以马克思主义、邓小 平理论、十五大及十五届四中全会精神为指导，理论联系实际，运用分析综合的 方法，从国有企业改革方向及社会主义公有制实现过程的角度提出：建立有中国 特色的内部员工持股制度是我国国有企业走向成功的有益选择，是马克思“重建 个人所有制”思想的发挥和创造，是对公有制实现形式的新探索。这一产权组织 形式既适应了现代市场经济发展的要求，又充分体现了社会主义的本质特征—— 劳动者主体地位的实现。有信心地坚持和探索员工持股制度，对于促进经济效率 的提高，大范围内提高人们的收入，有效防止两极分化，逐步实现共同富裕，充 分实现员工在经济民主、政治民主及文化诸方面的自由权利有重要意义。 本文共分四个部分，主要内容如下： 第一部分是对我国企业员工持股实践与基本特征的探讨。这部分介绍了企业 员工持股的含义，员工持股实践的两条线索并概括我国员工持股的基本特征。为 本文主要观点的建立奠定了一般意义的理论前提。 第二部分对员工持股制度进行了理论研究，分析了我国员工持股的必然性、 合理性和可能性。并通过与西方雇员持股计划的比较，揭示了社会主义员工持股 的特殊性和优越性。 第三部分是对企业员工持股制度与马克思“重建个人所有制”关系的研究。 在明确马克思“重建个人所有制”确切涵义的基础上，本文论证了：消灭资本主 义私有制，建立社会主义公有制，是马克思的一贯思想；马克思设想的“重建个 人所有制”完全实现了个人所有制和公有制的辨证统一，而改革实践中的员工持 股以承认和保护劳动者的个人财产为前提，以二重化的权利关系为表现形式，是 对马克思“重建个人所有制”思想的发挥和创造。 1 第四部分具体介绍了员工持股是社会主义公有制的有效实现形式。在对公有制及公有制实现形式进行了简单界定后，本文从价值取向、公有制模式及运行机制方面论证了员工持股对传统公有制实现形式的创新。最后，针对员工持股实践的不足提出了完善办法，以期持员工持股制度的实践在中国顺利的进行。 关于如何把握员工持股的度或者说量，这是员工持股制度效率分析的重要内容，本文没有更多地述及，这与选题的角度有关。
Employee Stock Ownership Plan (ESOP) in our State-Owned Company (SOC) has evoked much concern since it appeared in China. But in practice it does not achieve its desired results. Is this plan the reform direction of our SOC, and is it beneficial to bring about common wealth, and further can this plan root and bloom in our socialist China? All these important problems are put forward in China抯 reform practice. In the current theoretical research, some scholars regard ESOP as the 搑estoration of the individual ownership?, and some others take it wrongfully as the 搎uantification of the remaining property to individuals?, which is considered as the private ownership. And much more research is made on the running mechanism of ESOP. On the basis of the relevant research and under the guide of the Marxism, Deng Xiaoping Theory as well as the spirit of the 15t~~ National People抯 Congress and the 4t~~ Plenary Session of the 1 5th Central Committee, this paper puts forward, from the view of the direction of reform of SOC and the process of realization of the socialist public ownership, that to establish ESOP with Chinese features is an advantageous choice to enable the StateOwned enterprises to succeed, is the further development and recreation of the Marxism on the 搑estoration of the individual ownership?, and is the new discovery about the forms to realize the public ownership, by means of analysis and synthesis as well as linking theory with practice. This organizing form of the property right not only meets the needs of development of the modem market economy, but also reflects the essential features of socialism: the laborers? principle role in society. To adhere to and explore the ESOP confidently not only can improve the economy ernciency and increase people抯 income extensively, but also can avoid the polarization and achieve the common wealth gradually, as well as can ensure the staff抯 democratic rights in economy, political affairs and culture. This paper consists of four parts, whose main contents are as follows:I. A discussion about the application of ESOP in China and its essential features This part introduces the implication and the practice of ESOP meanwhilegeneralizes the essential features of the Plan, which establishes a theoretical prerequisite in a general sense for the main standpoint of this paper.II. A theoretical study on ESOP This part analyzes the inevitability, rationality and possibility of ESOP in China, and expresses the particularity and superiority of the Plan in our socialist country through a comparison with the project of ESOP in western countries.III. A research on the relation between ESOP and Marx estoration of the individual ownership? On the basis of the complete command of the exact implication of Marx estoration of the individual ownership?, this part expounds and proves that to eliminate the capitalist private ownership to establish the socialist public ownership is Marx consistent idea and Marx assumption of estoration of the individual ownership? fulfills the dialectical unity of the private ownership and the public ownership. Yet ESOP in reform practice takes the admission and protection of the laborers? individual property as its premise, expressed in the form of dualistic relations of rights, it is the development and recreation of Marx estoration of the individual ownership?.liv. A detailed argument that ESOP is a effective form to realize the socialist public ownership After a rough explanation of the different means to realize the public ownership and the forms to realize the public ownership, this part proves that ESOP is the innovation of the traditional forms to realize the public ownership, from the view of the adoption of value and the mode and running mechanism of the public ownership. And finally, this paper presents approaches to remedy the disadvantages in the practice of this plan, expectant of the smooth application of ESOP in China.
