国有商业银行是金融体系的主体,是一国经济增长、结构调整、社会稳定、人民富裕的基本条件和关键枢纽。实现国有银行向商业银行转轨,使之成为真正的商业银行,是我国金融改革的中心环节。为提高国有商业银行的经营管理水平,改善治理结构和运行效率,优化配置金融资源,建立与国际惯例接轨、与市场经济相适应的现代商业银行制度,必须打破国有商业银行单一的产权结构,增加产权流动性,股份制改造就是必然选择。 本文首先对产权理论和公司治理理论进行了论证和分析,在此基础上揭示产权制度对公司治理的重要影响,接着对国有商业银行产权制度局限性和效率进行了定性和定量的实证分析,并分析了现行产权制度对公司治理和银行经营效率带来的重大负面影响,以此得出产权制度改革是国有商业银行的必经之路和重中之重。 国有商业银行改革是一个循序渐进的过程,文章的最后对国有银行股份制改革的形势及产权主体多元化、股权结构优化进行了定性和定量的探讨,提出产权制度改革的近期和长远目标,近期目标是建立国家控股的集团制银行,其中包括建立银行控股公司,股权结构的优化以及良好公司治理结构的构建。长远目标是建立一般性商业银行。当然,国有商业银行的股份制改革是一项系统工程,为了使国家控股的银行集团模式得以实现,还应有一系列的配套措施。如不良资产问题的解决,竞争机制的建立等等。
The state-owned commercial bank is a subject of the financial system, and one country"s economic growth, structural adjustment , social stability , people"s rich primary condition and key pivot. Realize that the state-owned bank goes through transition to the commercial bank, makes it become the real commercial bank, it is a key link of the financial reform of our country. In order to improve the managerial skill of the state-owned commercial bank, improve administration structure and operational efficiency, financial resources of rational distribution, set up with the integrating, modern commercial banking system in conformity with market economy of international practice, must break the single property right structure of state-run commercial bank, increase property right mobility, shareholding system transformation must be chosen.At first, the dissertation analyses and expounds the theory of property rights institution and corporate governance so as to reveal the impacts to corporate governance from property institution. Then it makes qualitative and quantitative analysis on the limitation and efficiency of state-owned bank property institution, and analyses adverse effect to corporate governance from current property institution. It is concluded that to reform the state-owned bank property institution is unavoidable and most important.The reform of state-run commercial bank is a progressive course, Optimize determining the nature and quantitative discussion to the situation, pluralism of main part of property right, stock right structure of the shareholding system reform of state-owned bank at the end of the article. The article was of proposing property relations reform recently and long-range objective, The immediate objective is to set up state holding group and make the bank, include setting up the holding company of the bank, optimization of the stock right structure and construction of the good company"s administration structure. The long-range objective is to set up the general commercial bank. Certainly, the shareholding system reform of the state-run commercial bank is a system engineering, in order to make the state holding mode of bank group be realized, there should be a series of supplementary measures. For instance the settlement of the problem of the non-performing assets, setting-up ofcompetition mechanism ,etc..
