论文标题:中国家族企业演进过程中的管理体制研究 The Research of the Management System of the Chinese Family Enterprise in the Evolutionary Process 论文作者 刘丽萍 论文导师 陈文开,论文学位 硕士,论文专业 国民经济学 论文单位 广西师范大学,点击次数 86,论文页数 48页File Size363k 2003-04-01论文网 http://www.lw23.com/lunwen_508688182/ 家族企业;家族企业管理体制;管理体制创新 Family enterprise;Management system of family enterprise;The innovation of family management system 在现代经济中,不论东方或西方经济体中,家族公司都还是最普遍的组织形式。世界范围内80%以上的企业归属于家族企业。我国也不例外,新中国成立后,非公有制企业在中国大地上已基本绝迹了,直到改革开放以后,非公有制经济企业才得以恢复,并且主要以家族企业的形式存在,随着非公有制经济对国民经济的贡献力的增强,以及原始积累的完成,中国经济不会取得如此大的迅速发展。家族企业在寻求进一步的发展过程中遇到了各方面的困难,其中管理体制落后是一个非常重要的原因。并且,随着中国加入WTO,家族企业还要面临国外企业的挑战,因此发展与壮大成为新世纪家族企业的主题,而其解决办法就是通过管理体制的创新,实现从家族企业向现代企业的转变,以迎接国际国内的挑战。文章主要从五个方面来阐述这一问题。文章的第一部分主要论述了现存的国内外不同学者对家族企业定义的不同界定。通过比较分析,以及对国内实际情况的考察,得出家族企业的定义是指资产和股份主要集中在一个家族之中,领导层的核心位置由同一家族的成员出任,企业内部管理带有浓厚的家族色彩。并根据家族企业的发展阶段分为三个阶段。限定文章的研究对象是已完成原始积累,并已转化为有限责任公司在向公众化公司的转变过程中存在的问题及政策建议。第二部分着重论述家族企业管理体制的现状。从家族企业的股权结构开始,依次论述了家族企业的组织与运行机制、管理人员的选择机制、激励——约束机制,以及领导权的交接等。第三部分在前面论述的基础上,对家族企业管理体制形成的原因进行了分析。家族企业的产生不仅有其特殊的历史背景;还深受中国传统儒家文化的影响,几千年一贯的宗法式的“家族主义”使得企业主在家庭与企业里行事规则一样;并且我国正处于由计划经济向市场经济的转轨阶段,制度规则不完善导致的信用缺失也是造成家族企业管理体制形成的重要因素。第四部分论述了家族企业管理体制的优劣。家族企业管理体制在创业阶段有效的避免了创业初期的信息不规范,降低了委托——代理成本和管理成本。但随着原始积累的完成,家族管理的优势日益减弱,家族企业管理体制越来越多的和家族企业不断扩大的规模不相适应。第五部分是文章的最后一部分,首先通过对美、日发达市场经济国家家族企业演进的简单比较,得出了其对中国家族企业演进的启示。然后结合中国的实际,从内部、外部制度两个方面进行创新,发挥其创业阶段的优势,克服其劣势,完成其向现代企业的转变。 In the modern economy, regardless east or in the western economic, the family company is all still the most widespread organized form. Above 80% of business enterprise is in the family enterprise in world scope. Economy of our country is not the exception .Non public business enterprise was already basic disappear after the establishment of the new China. Non public economy recovered again and mainly lived with the form of family enterprise until the reform and open .If not the non public"s contribution to national economy, and the completing of primitive backlog, Chinese economy would not have obtained so great development. The family enterprise met the different difficulty of the everyone"s in looking for development. The family management system is a count for much reason. And, family enterprise faces the challenge of abroad business enterprise because of joining the WTO. So development of strong becomes the topic of the family enterprise in new century. The solution is to pass to innovation of management system. Then it realizes the change from the family enterprise to modern business enterprise, and faces with international and local challenge. The article is main from five aspects to elaborate t he problem.The first part mainly discusses the different definition of the family enterprise of different scholars from domestic to international .The author get the definition of it through the comparing the analysis and the actual circumstance of China. It"s definition is that property of the family enterprises mainly occupied by familymembers. It has the thick family color. According to the research goal, the development of the family enterprise is divided three different stages. The main object is to provide politic suggestion in the publicizing process of family enterprise who has already completed the primitive backlog and converted to limited liability company.The second part greatly emphases on present condition of the family management system. From the ownership of the share construction beginning ,the part discusses the buildup and circulate mechanism, personnel"s choice mechanism of management, encourage—control mechanism and the handing over of power.The third part elaborates the reason about the formation of family management system on the fore discussion. It produces not only for special background, but also for the influence of traditional Confucianism culture which had many thousand years and made the business enterprise lord do the rule similar in family and business enterprise. And our economy is being placed in the stage of turning from planed economy to the market economy. That abnormally and not perfect system cause the short of the trustworthiness is also the important factor to the family management system.The fourth show the system"s advantage and disadvantage. The system has the different function in different stage of family enterprise. The system lowered the cost of entrust—act management ,avoided the abnormal information . But the beginning advantage dies down slowly because of the completion of primitive backlog. The system is more and more doesn"t fit with the continuously expanding dimension.The last part gives the suggestion through the simple comparison between American and Japanese who are the developed market economy. It gets the conclusion that the turning from family enterprise to modern enterprise depends on the innovation of family management system through overcoming the disadvantage in beginning stag.
