我国国有企业传统体制的弊端严重制约了企业的发展,压抑了国有企业内在的发展动力,国有企业是我国国民经济的支柱,其国有资产流失和监督的矛盾空前尖锐。目前,通过建立现代企业制度对其进行深层次改革,已经成为我国经济发展的迫切任务。 随着加入世贸的进程深入,国家在入世中各项承诺的兑现,全球化市场竞争机制的不断引入,我国国有企业尤其是竞争性国有企业作为一个特殊的行业进行改制。在面临愈加激烈的竞争中为求得自身生存和发展,将逐步摆脱国家政策扶持,又应当如何适应时代发展、经济环境变化、科学技术进步以及国企各自发展的新情况,采取何种有效实现形式,选择并不断完善其改制运营模式,以促进国企自身的可持续发展,是本文将着力探讨的课题。 本文以天津城建隧道股份有限公司作为实证资料,来探讨国有企业股份制改造的可行性、必要性、改造的问题及对策、公司的治理和股份制企业的具体发展方向等问题。希望通过对天津城建隧道股份有限公司改制过程的回顾、经验的总结和存在问题的分析,为国有企业改制的顺利推进提供有益的借鉴。当然,个案的分析,不足以反映整体的情况。因此,有必要对国有企业进行股份制改造进行一个总体的分析,这样有助于从更高的高度来认识国有企业的改革问题。
The tradition system disadvantage of state-owned enterprise in our country has seriously restricted enterprise"s development, and constrained the state-owned enterprise intrinsic development power, the state-owned enterprise is the pillar of our national economy, the contradiction of state assets loss and surveillance was unprecedented incisive. At present, that already became the urgent duty of economy development in our country by building modern enterprise system to carry on the deep level reform. Along with the thorough course to join the world trade, to cash each pledge in being WTO entry, the introduction of the globalization market competition mechanism, state-owned enterprise, especially for competitiveness state-owned enterprise in our country would be changed the system as a special profession. It gradually will get rid of the national policy support in order to obtain own survival and the development in facing more keen competition, and how to adapt the time development, the economic environment change, the science and technology progress as well as the state-owned enterprise respective development new situation, what kind of effective realization form to adopt, to choose and improve its change system operation pattern, in order to promote the state-owned enterprise continual development will be the topic discussed expertly in the article. We took Tianjin urban construction tunnel Engineering Co.Ltd as real diagnosis material to discuss the feasibility, necessary, the transformation question and the countermeasure, corporate governance and concrete development direction during State-owned enterprise joint stock system transformation. We hope that we can provide the beneficial model for smooth advancement of the state-owned enterprise through the review of the process of system change, the experience summarized and the analysis of the existence question of Tianjin urban construction tunnel Engineering Co.Ltd. Certainly, the separate document analysis is insufficient to reflect the whole situation, therefore, it is necessary to carry on an overall analysis State-owned enterprise joint stock system transformation, only in this way could be it helpful for knowing the reform question of the state-owned enterprise from a higher angle.
