论文标题:初论委托书征集的法律规制 Countermeasures Study to Prevent the Loss of Talents for the State-owned Metallurgical Enterprise after Entry into the WTO 论文作者 谈樨华 论文导师 徐崇利,论文学位 硕士,论文专业 国际法学 论文单位 厦门大学,点击次数 545,论文页数 47页File Size2452k 2002-06-01论文网 http://www.lw23.com/lunwen_570462/ 委托书征集;控制权;公司治理;法律规制 WTO;state-owned metallurgical enterprise;loss of talents;countermeasure 股东大会功能的积极发挥与运作在现代公司股权分散的特点下,依赖于股东通过委托书进行表决权的代理行使。然而,委托书征集与敌意收购(主要方式是股票的公开要约收购)一起成为公司控制权争夺的重要方式时,则利弊俱存。对其进行严密的规范是证券法律制度必须解决的问题。本文在分析美国对于委托书征集的法律规制基础上,探讨我国的相关法律制度,并围绕委托书征集所产生的主要法律问题提出相应的立法建议。全文分为前言、正文和结语三大部分,正文共分三章。 第一章对委托书征集的缘起、作用的演变及各国的立法政策取向作了概要性的介绍,确立了全文的基础。委托书征集除了保障股东会功能的发挥,还具有转移公司控制权的功效,因此能在监督公司经营者行为、完善公司治理结构方面起到相当大的作用。但对其放任却势必扭曲表决权的本意并影响公司经营权的正常行使,鉴于此,各国均对其进行法律规制。 第二章探讨美国对委托书征集的法律规制。在美国,委托书征集主要是由各州公司法、联邦立法、美国证券交易委员会(Securities and Exchange Commission,以下简称SEC)的委托书规则、证券交易所规则及公司章程、细则等加以规制。其中SEC制定的委托书规则是针对委托书的专门立法,本章介绍了该规则的立法沿革,并对其内容作了比较详尽的介绍与分析。 第三章分为两个部分。第一部分介绍我国有关征集委托书的实例并进行析解。第二部分分析了我国现行的有关委托书征集的立法及其存在的问题,并提出了相关的立法的建议。 When the arrival of the 21 st century,the problem of talents loss has become a key issue which influence the existence and development of enterprise.To study the talents loss is meaningful after our country entry into the WTO .This paper analyzes the relations between human resource condition and talents loss by studying the present conditions of the state-owned metallurgical enterprise,points out the change of macro and microcosmic environment by analyzing the influence of the WTO,provides theory basis to avoid the loss of talents by analyzing the motive and factor of talents loss,points out the reason of talents loss by analyzing the present condition and tendency of talents loss of the state-owned metallurgical enterprise,and provides some countermeasures. The paper is divided into 5 chapters.Chapter one:it puts forward the issue of talents loss,points out the meaning to study talents loss,provides basis for us to study the issue of talents loss by summarizing the human capital theory of the West and the study condition of human resource of our country.Chapter two:it analyzes the condition of human resource and relative contradiction,points out the relation between human resource condition and talents loss,analyzes the influence of talents loss to the state-owned metallurgical enterprise.Chapter three:it analyzes the influence of WTO to our country"s steel industry,points out the roles of talents in the steel industry,and analyzes the influence of WTO to macro and microcosmic environment of human resource.Chapter four:it provides a NS analysis model to interpret the motive and factor of talents loss,builds a talents loss chain,and points out the source of motive and factor of talents loss of enterprises,and this provide a theory basis to prevent the talents loss.Chapter five:it analyzes the present condition and tendency of talents loss and points out reasons which cause talents loss,and provides some countermeasures for the state-owned metallurgical enterprise.
