本文运用比较的方法，通过对我国台湾地区和日本、德国等国家有关商事设立登记法律效力比较研究的基础上来探讨我国商事设立登记概念、性质、相关制度和法律效力，并在此基础上为完善我国商事设立登记的法律效力提出了一点思考和建议。 本文共分三个部分： 第一部分，阐述我国商事设立登记概念、性质的界定和历史演进，通过实证的分析我国目前商事设立登记法律效力存在的问题出发来探讨研究我国商事设立登记的必要性，然后在对商事和商业界定的基础上提出我国商事设立登记的概念，并认为我国商事设立登记的性质是一种公法性极强的行为，分析了商事设立登记在外国和我国的历史演进，说明了商事设立登记具有悠久的历史渊源。 第二部分，分析了商事设立登记的相关法律制度，商事登记的原则有强制性登记和任意性登记，认为我国应该采用折中的登记原则。分析了商事设立登记的程序，包括申请、受理、审查、核准、发证(照)、公告等步骤。建议我国在条件成熟的基础上可以分设立登记主体，简化商事设立登记程序，比如成都市工商局的十分钟登记制度。分析了商事范围，认为商事设立登记有必要的登记事项和任意的登记事项，建议我国可以统一明确规定商事设立登记的事项。 第三部分，阐述了我国商事设立登记的法律效力，提出了完善我国商事设立登记法律效力的一点建议。认为商事设立登记的法律效力就是商事设立
This article intends to research the concept of commercial establish registration, character, legal system, establish legal effectiveness though a comparative with Chinese Taiwan and Japan , German as well as other countries or districts in the world, and some suggestions are put forward to improve Chinese commercial establish registration legal effectiveness in the future.Three parts are included in this article:The first part, points out the concept of commercial establish registration, character and the history of development, and the author believes it is necessary to discuss the legal effectiveness of Chinese commercial establish registration with an example analysis of existing questions. Meantime, discusses the long-standing history of commercial establish registration in China and other countries in the world. Commercial establish registration is a kind of behavior with public law in essence.The second part, discusses some systems, principles, procedures, related to commercial establish registration, some suggestions are given, and the registration rules mainly comprise compulsory registration, wanton registration. Cheng Du City"s ten minutes registration is succeed, which can be extended in the future in China. And the commercial establish registration items should be unified constructed in Chinese law.The third part, discusses Chinese commercial establish registration legal effectiveness. And some suggestions are given to improve Chinese commercial establish registration legal effectiveness.
