商业银行不良资产问题是现代金融业发展中的一个全球性难题。当前我国商业银行不良资产问题十分严重。这不但成为我国金融业危机的重大隐患，而且影响我国商业银行体制改革的深化和发展。随着我国加入世界贸易组织和我国商业银行市场化战略的推进，处理我国商业银行的不良资产任务迫切，意义重大。资产证券化是近三十年来世界金融领域的最大创新之一，由于其能够将资产负债表上的信贷资产表外化，从而优化了银行信贷资产机构，提高了银行资产的流动性和盈利性，故问世以来一直被视为解决银行不良资产的最佳途径，并在一些国家取得良好的效果。本文试图就在我国开展银行不良资产证券化的一系列相关问题进行研究。本文共分为六个部分：第一部分是资产证券化的基本理论研究。在这一部分里，重点分析资产证券化的概念、原理、发展动因和发展现状。第二部分通过研究美国、韩国处理不良资产证券化的成功案例，从而总结出对我国商业银行开展不良资产证券化的启示。第三部分是针对我国的实际情况，系统分析我国商业银行不良资产的现状。在此基础上对我国采用证券化技术解决银行不良资产问题的必要性进行了研究。第四部分从我国宏观经济体制方面和微观成本收益角度对我国实行银行不良资产证券化可行性进行论证，提出了资产证券化是处理我国不良资产的现实选择的观点。第五部分对我国商业银行开展不良资产证券化存在的制度性、技术性和风险性障碍进行了系统研究。最后是对策体系研究部分，也是本文的主要部分。首先结合我国现实情况，提出必须改善我国商业银行实施不良资产证券化所需的宏观环境，其次提出我国开展银行不良资产证券化的应该采用的运作模式；最后对我国商业银行开展不良资产证券化进行方案设计。
The problem of bad bank assets has become the international problem in this day. In present, it has also been severe in our country . The problem of bad bank assets not only has been the great hidden for our financial system, but also obstructs the promotion and development of banking system. Moreover under current situations at the time of China" s John into WTO and the revolution of commercial bank, it seems especially urgent and of great significance for our nation to cope with inferior credit assets now insisting in many banks. Asset securitization is the great financial innovation in these decades. Because it can optimizing the structure of bank credit loans and improve bank mobility and profitability of assets by taking the credit assets of the bank. Bad asset securitization has made the good result in some countries. This paper attempts to research the relevant problems of bad bank asset securitization in our country .This paper includes following seven sections:The first section aims to introduce the definition the basic principle and the developing causes of the asset securitization. Moreover this section analyses its lastest development in domestic and overseas field. The second section introduces two cases of bad bank asset securitization in the world and tells us the experiences. The third section analyses the current situation of commercial bank bad bank assets in our country .The fourth section discusses the necessity of carrying out the bad bank asset securitization from macro-economic system and cost-income angle. The fifth ection puts forward the obstacles of practicing bad bank asset securitization in our country. The last section is a crucial part of the thesis , firstly , author analyses macroeconomic circumstances need for its application. Secondly , author puts the ideas of operation mode of bad bank asset securitization in our country , the reality of our country. Lastly, with its order to debate an efficient way to apply asset securitization to practically handle with inferior band asset in China.
