改革开放以来，中国农业银行改革已经取得了重大成绩，但同时还存在很多问题，如管理体制问题、产权制度问题、公司治理问题仍在不断地困扰着中国农业银行。股份制作为一种产权界定清晰的制度安排，由于其所有权与经营权分离，因而有利于科学的公司治理结构的建立，使其经营管理更有效率性、科学性，是帮助中国农业银行走出目前困境，提升国际竞争力的根本出路。 论文在简要总结了国际银行业重组与改造实践方面的经验以及国内外关于国有商业银行股份制改造的研究成果后，较深入地分析了中国农业银行经营的弊端，指出了中国农业银行股份制改造的必要性。接着针对中国农业银行的现状提出了产权制度改革与公司治理结构改革的具体思路与策略，并指出了要加强银行股份制改造配套措施建设，如加强内控制度、信息披露和银行监管制度的建设，建立存款保险制度等。最后，结合中国农业银行的具体实际，对中国农业银行的股份制改造的实施作了较深入的探讨，提出了“集团公司+股份制银行”的改革途径。
The reform of Agriculture Bank of China has made great progress since China"s opening to the out world, but still there are many problems troubled Agriculture Bank of China such as the management system, the property rights system and the corporate governance problems etc. The system arrangement in the stock company has very clear regulation to the property rights. With the apart of the ownership rights and the operation rights the scientific governance structure can be established effectively. To help Agriculture Bank of China out and to exalt its strength in international competition stock company is suggested here to reform Agriculture Bank of China.Firstly, the dissertation introduces briefly the achievement the researchers home and abroad have made about the stock reform of the state-owned commercial banks and summarizes the experiences that the international banks have in the reconstruction and stock reform, then has a deep research in the malpractice in Agriculture Bank of China, pointing out the bank"s needs to take stock reform urgently. Secondly, the strategy to reform the property rights system and the corporation governance structure is brought forward according to the problems Agriculture Bank of China has, and also the correlative systems are required to be strengthened like the inter control, information throw and the bank supervision, and the saving assurance system is advised to set up as soon as possible. Lastly, the dissertation probes into the stock reform of the Agriculture Bank of China, putting forward a plan of " group company plus stock system batik " to reform the Agriculture Bank of China based on its own situation.
