党的十五大为股份制和建立现代企业制度指明了方向，尤其是关于公有制有多种实现形式的论述，为国有企业改革进一步铺平了道路。 目前国有企业诸多问题产生的根源在于企业所有权不明，产权界限不清，企业内部机制不能正常发挥作用，外部不能正常参与市场交易与公平竞争。因此，必须从企业体制上进行根本改革，彻底改变传统公有模式，建立一个新型的适应市场经济要求的现代企业制度。 论文运用经济学、管理学和统计学等方法，以中化供销集团为研究对象，以该企业股份制改造为研究内容，对企业股份制改造的模式和企业重组问题进行研究。文章首先分析了国有大型物资(化工)流通企业中化供销集团的外部环境和内部条件，结合本企业面临的机遇与挑战，提出了在竞争环境下企业竞争力提升的途径，以说明企业股份制改造的必要性。其次，对国有集团股份制改造中的纵向持股模式和横向持股模式进行对比分析，为中化供销集团构建了股份制改造模式，对所选择模式的理由及利弊作了分析，并提出了股份制改造的步骤，说明该模式与企业现状和发展方向是相适应的，是可行的。最后，文章以选定的股份制改造模式基础，探讨了企业重组的实施中的问题，通过对资产重组、人员重组、业务和债务重组的分析，提出了资产重组的框架，以及业务重组的方法，并参照以往的经营数据对重组后股份公司的经济效益做出预测，指出了企业重组的风险问题，可供企业在股份制改造的实施过程中借鉴。
In the fifteenth General Conference of Party Central Community of China, it has been explained clearly that on what"s share system company and how to build up the modernized enterprise system, particularly the statement that there are various realization style on the state-owned system enterprise. All these will pave a way for the state-owned enterprise reform.As far many problems in the stale-owned company arise from the clear ownership rights and property rights. In the interior, company cant normally act; in the exterior, company cant engage in the market trade and equal competition. Therefore, company must carry out the system reform and entirely change the traditional state-owned model, and build up a modem and new company that could meet the market economic needs.Based on the economics, the management science and the statistics, the author researched the pattern of shareholding system transformation and the enterprise reforming of the China Chem Group which is one of large-scale state-owned material distribution corporation. Firstly, the author analyzed the external environment and the internal condition of the corporation, explained how to face the chance and the challenge and how to promotion the competence, illustrated the necessity of shareholding system transformationL Secondly, the author built a pattern of transformation on the basis of level-shareholding and lengthways or cycle shareholding, analyzed the reason, the advantage, the shortcoming and thesteps of the determinate pattern. The author considered that the pattern suit the needs of the corporation. Finally, the author studied the enterprise reforming including assets, personnel, business and debit, raised the frame of the asset reorganization and the method of the business recombination, forecasted the economics results of shareholding company, hi the end of the thesis, the risks were summarized in order to give some reference during the reform.
