随着我国现代企业制度的建立，股份制已经成为人们日趋关注和研究的热点，尽管人们在股份制的产权制度上进行了大量的研究，但是如何使得股份制真正和高新技术相结合，如何预防高新技术企业股份制改造的风险等问题是高新技术企业发展中碰到的主要问题。 论文以高新技术企业的发展为背景，结合企业的股份制改造，以企业风险分析过程为主线，分析了高新技术企业在股份制改造中的种种风险，应用层次分析法、模糊评价等方法对这些风险进行了评价，并提出了风险控制策略。这些研究使得人们能更清晰的理解高新技术企业股份制改造过程中的风险，而且论文对这些风险进行了识别、评价和控制，结合实例给出了一套风险评价模型，为高新技术企业的股份制改造提出了决策依据。论文通过研究得出以下结果： 1、文章通过了解高新技术企业、高科技的发展，分析股份制和高新技术的关系，找出了高新技术企业在股份制改造的各种风险，并依据分析的结果建立起高新技术企业股份制改造的风险指标体系。 2、文章根据高新技术发展的特点、高新技术企业发展的周期以及在企业在各个周期内的风险，分析了高新术企业股份制改造的风险以及成因，通过研究实际的案例提出了高新技术企业股份制改造的时机选择的问题，得到一般高新技术企业会选择企业的成长期来进行股份制改造。 3、文章结合实际的案例，应用多层次的模糊评价法对高新技术企业股份制改造的风险进行了评价，不仅得到了各种风险之间的相对重要程度，而且为单个的风险指标给出了绝对的评价，并为高新技术企业股份制改造的总体风险进行了评价，为风险控制提出了依据。 “科学技术是第一生产力”，科学技术的进步转化为生产力的关键在于高新成果的市场化、产业化，高新技术企业的股份制改造是高新技术依托其主体扩张，实现产业化的一个关键过程，研究高新技术企业股份制改造的风险，不仅有其理论上的价值，也为高新技术企业股份制改造的实际操作提供了依据。
With the reforming of modern enterprises, the joint stock system is getting more concerned and becoming the hot topic. Although people put the energy into the research of property rights, the initially idea is ignored. The joint stock system develops with the society"s developing, and the society"s developing is accelerated by hi-technology, more and more risk makes the joint stock system come into being.According the development of Hi-technology Company, the thesis discuses the joint stock system of Hi-technology Company and the risks of them. Glueing with risk research process, the thesis revalues the risks and give some strategy for them. All these make us clearly understand the risks in the company"s reforming. Moreover, according with a case, the thesis gives us a model of risks appraising and some advices for the reforming of Hi-technology Company. The main content is as follows:1,Acording the development of Hi-technology and Hi-technology Company, the thesis discusses the relationship between them, and finds the reason of the reforming.2,Acording the life circle of Hi-technology Company, the thesis find the risks along the circle. By using some cases, the thesis find the time of the reforming.3,the thesis analyzes the risks in the reforming. Using Analytical Hierarchy Process and blur appraise ways, the theses appraise the risk of a company. This gives some underground of reforming."Hi-technology is the first productivity", the Hi-technology becoming productivity needs the Hi-technology company, the joint stock reforming gives a chance to become grandness. Researching on the risk can give some theory value, and can give some practice advices.
