从二十世纪九十年代开始，跨国公司纷纷要求在华设立外资投资性公司以适应其在华大规模、系统化的投资。《关于外商举办投资性公司的规定》为投资性公司的设立和投资管理活动提供了法律依据。外资投资性公司的设立对鼓励跨国公司来华投资以及我国利用外资发展本国经济起到了积极的作用。同时也带来了一系列的负面影响，我国对外资投资性公司的法律监管并不到位。 本文从外资投资性公司的基本内容着手，以外资投资性公司的法律监管为研究中心，采用分类、比较和归纳的方法对外资投资性公司的监管理念、体系、监管方法、监管内容及监管法律做了较为深入的分析，重点在于探讨外资投资性公司法律监管的不足，完善外资投资性公司的法律监管。 本文的重点是第5章“外资投资性公司法律监管的完善”。结合前几章的研究内容，笔者在该章中分析了外资投资性公司法律监管的现状，对外资投资性公司法律监管的完善提出了若干设想，建议采用“资本控制说”界定外资投资性公司的法律性质，完善《关于外商举办投资性公司的规定》，引入风险管理理念，加强风险监管。希望这些大胆的尝试能为我国监管外资投资性公司提供有效的参考。
Since the 1990s,more and more multinational corporations appealed to the Chinese government to allow them to establish Foreign-invested Holding Companies in order to cater to their onshore businesses .In response to such requests ,the Ministry of Foreign Trade and Economic Cooperation issued the Regulations on the Establishment of Companies with an Investment Nature by Foreign Investors , which laid a solid legal foundation for the establishment of Foreign-Invested Holding Companies .Foreign-Invested Holding Companies now are playing an active role in encouraging multinational corporations to invest in China and boosting the Chinese economy with foreign founds .At the same time , Foreign-invested Holding Companies also brings some problems .The legal supervision regarding to Foreign-invested Holding Company is not perfect.This paper sets about from the connotation of Foreign-invested Holding Companies , mainly focus on the legal supervision regarding to Foreign-invested Holding Company .Research method such as taxonomy ,comparison and induction have been used to analyze the target ,principal ,consent ,ways ,laws and regulations about the legal supervision ,mainly finding the limitation of legal supervision and consummate the legal supervision regarding to Foreign-invested Holding Companies.Chapter four is the key part of this paper .mainly focusing on improvement and development of the legal supervision system regarding to the Foreign-invested Holding Companies .Based on the analysis of the former chapters, chapter four sets forth several suggestions to improvement of relevant laws and regulations .suggest using actually control principle to analyze the nationality, brings forward some suggestions on the amendment and supplement of the Regulations on the Establishment of Companies with an Investment Nature by Foreign Investors ,set up the principle of risks to control risks,.I hope that these attempts can provide useful references for consummating the legal supervision Foreign-invested Holding Companies.
