目前我国四大国有商业银行尽管已基本完成了向商业银行的转换，并不断提高自身的商业化程度，但事实上仍未完全摆脱传统体制下遗留的种种痼疾，如国有商业银行目前存在的产权关系不清、治理结构缺失等问题，已严重阻碍了自身的发展。同时，随着加入世贸后我国金融市场对外开放步伐的加快，外资银行在中国的业务范围越来越大，这必将给国有商业银行带来前所未有的冲击。在这种情况下，必然要求对国有商业银行进行股份制改造，按照市场经济的要求，建立新的监管规划框架，建立公正、透明的法律体系，使我国银行业尽快步入规范、健康发展的轨道，逐步发展成为治理结构完善，运行机制健全，经营目标明确，财务状况良好，具有较强国际竞争力的大型现代化商业银行。因此，建立在经营管理方式上与国际接轨的金融企业，是我国国有商业银行在新的竞争格局中争取主动、建立良好的公司治理结构的关键环节。 文章阐述了我国国有商业银行进行股份制改造的难点，进而指出股份制改造的模式是金融控股公司，同时系统地介绍了国外金融控股公司模式，并深入地剖析和探讨了我国国有商业银行进行股份制改造的方针、模式及相应的配套改革，并在最后提出了一些相关建议，希望能对我国国有商业银行股份制改造提供一定的参考价值。
At present,though our country four major state business banks have already basically finished the transition to business banks,and improve their own commercialized degree constantly. But in fact,they do not totally break away from all sorts of chronic illness that the traditional system leaved. For example,the primary problems that exist the state business banks at present:Unclear relations between ownership and management of enterprises,management structure is lacked,etc. They have already hindered their own development seriously. Besides,with the quickening of the pace opening to the outside world of our financial market with joining WTO,foreign banks" business scope in China becomes greater and greater,this will bring unprecedented impact to state business banks. In this case,we should transform shareholding system,set up new supervision & management frame at the requests of market economy,and establish just and transparent legal system to make the banking of our country step into a standard and healthy orbit as soon as possible and develop into the large modernized business banks with perfect management structure,sound operating mechanism,clear operating objectives,good financial situation and strong international competitive power. Therefore,financial business in line with international standards on the form of operation and administration is the key linkthat the state business banks of our country gain the initiative in the new competition pattern and set up good company management structure.The article has explained the difficult point of the state business banks of our country carrying on shareholding system transformation. Then pointed out that the mode of shareholding system transformation is a financial holding company,and it has introduced the modes of foreign financial holding companies systematically at the same time. It analyzes and probes into the policy,the mode and the corresponding reform of shareholding system transformation. Relevant proposes have advanced at last.
