独立董事制度是当前我国民商法学界研究的一个热点问题，研究独立董事制度对于完善我国公司法人治理结构，促进上市公司提高经营业绩，维护中小股东权益具有重要意义。本文试图对中国独立董事制度进行比较系统地研究，以独立董事的概念、独立董事制度的功能为切入点，探讨独立董事制度在中国实践中存在的问题，提出完善中国独立董事制度的对策建议。在占有尽可能丰富资料的基础上，通过横向与纵向的比较，进行从个别到一般的归纳，从一般到具体的演绎，分析我国目前独立懂事制度运行的现状及存在的问题，并结合具体案例就制度的完善提出建议。 本文通过比较分析法和例证法，通过研究独立董事制度的基本理论及其理论基础和两大法系的在公司治理上的差距，分析独立董事制度在中国的实行情况以及对未来进行设想，笔者认为独立董事制度本身就是一个需要不断完善和发展的理论，我们在其研究和分析并运用于中国的实践时，必须要结合中国国情，要具体问题具体分析，只有这样才构建出适合中国的、能发挥其作用的独立董事制度。
Independent director system is a hard problem in the field of the civil and commercial law. Studying independent director system is very meaningful for perfect corporate governance and protecting the right of the middle and little stockholders. This text is trying to study independent director system. It studies the concept and function of the independent director system and discusses the problem of independent director system in china, and it comes up with the suggestion of the complement and improvement of in dependent director system. Based on as many as possible materials, it uses analysis of theories and empirical study to make a transverse and lengthways comparison so as to have a comprehensive understanding for the independent director system; it elaborates issues related to the independent director system by applying legal interpretation, economic analysis and logic, act, thereby puts forward some suggestions on establishing Chinese independent director system.This text through the comparative analytic approach and law of illustrating, through studying the basic theories of the independent director"s system and theoretical foundation and manage disparity on in the company of two fundament laws and principles departments,analyse the implementation situation in Chine of the independent director" system and imagine the future,I think the independent director" system itself is that one needs to perfect the theory with development constantly, we must combine the China"actual conditions when its research and analysis are applied to practice of China, want the concrete problem to make a concrete analysis of, only in this way structure out the independent director"s system that suit China, can work its magic.
